Terms and Conditions for Affiliates and Publishers

Introduction

Welcome to the NeXOffers Affiliate Program. These Terms and Conditions govern your participation as an affiliate or publisher promoting offers through the NeXOffers platform. NeXOffers operates under strict compliance and quality control standards to maintain the highest integrity in performance marketing. By registering for the program, you agree to abide by these Terms and Conditions. Violation of any terms may result in immediate suspension, termination, and forfeiture of payments.

1. Eligibility and Registration

1.1 Age Requirement

• You must be 18 years or older to participate in the NeXOffers Affiliate Program.
• If you are under 18, you must have explicit parental or guardian guidance and supervision to join.

1.2 Approval Process

• NeXOffers reserves the right to accept or reject any application at its sole discretion without providing a reason.
• Approved affiliates and publishers must comply with all terms, policies, and promotional guidelines set forth by NeXOffers.

2. Official Communication Channel

• We use only our official Telegram channel @nexoffers for all updates and announcements.
• We are not present on any other communication platform for official updates, queries, or account discussions.

3. Offer Promotion Guidelines

3.1 Strict Advertising Standards

NeXOffers follows strict advertising and compliance guidelines. Any affiliate violating these standards will face immediate account suspension.

3.2 Exclusive Usage of Provided Links

• Affiliates and publishers must use the unique tracking links provided by NeXOffers to promote offers.
• Extracting, modifying, or using unauthorized links is strictly prohibited.

3.3 Lead Generation Standards

• Only non-incentive, genuine, and organic traffic leads are payable.
• We strictly do not accept incent traffic, fake leads, duplicate or junk submissions, or leads generated from bots or automation.
• If 10% or more fraudulent or invalid traffic is detected for any campaign, the campaign will be paused immediately until the issue is reviewed.
• Punching, scripting, or manually generating leads using fake data is strictly prohibited and will lead to permanent account termination.
• Accounts found engaging in such practices will be immediately blocked, and all pending payments and invoices will be forfeited.

3.4 Prohibited Activities

• Use of bots, automation, or unauthorized scripts to generate traffic or conversions.
• Misleading advertisements or false promises to users.
• Incentivizing users, manipulating CTRs, or using fake engagement sources.
• Spamming, trademark bidding, cloaking, or any black-hat traffic generation method.

4. Payment Terms

4.1 Weekly Payment Schedule

• Payments are processed on a weekly basis after raising an invoice from the affiliate panel.
• Payments are made only for CRM-approved leads/conversions.
• Payment will be cleared within 7 days after invoice approval, except in cases of delay due to client-side reporting or additional verification.

4.2 Campaign-Specific Payment Terms

• Some campaigns may follow different payment terms or schedules as determined by the advertiser/client.
• In such cases, payment timelines will depend on the respective client’s reporting and approval cycle.

4.3 Invoice Submission

• Payments will only be released after the affiliate submits a valid invoice through the panel.
• Invoice and payment details must be verified before submission — no edits are permitted after submission.

4.4 Delayed Reports and Dependencies

• NeXOffers depends on client-side CRM data and approvals. Therefore, any delay in client reporting may cause delay in payments.
• Such delays are beyond NeXOffers’ control and do not imply any negligence or withholding by NeXOffers.

4.5 Forfeiture of Payments

• Accounts violating any policy or generating fraudulent traffic will have all pending payments forfeited.

5. Fraud Prevention, Compliance & Direct-Client Contact

5.1 Monitoring and Verification

• NeXOffers continuously monitors all traffic and lead data for quality and authenticity.
• Affiliates must cooperate with any audits or verification requests initiated by NeXOffers.

5.2 Immediate Action for Violations (Including Direct-Client Contact)

• Accounts engaging in fraudulent, unauthorized, or manipulative activities will be immediately blocked.
• If any affiliate, publisher, or associated source is found contacting or attempting to contact a NeXOffers direct client — for campaign access, payments, or business discussions — they will be immediately blacklisted.
• All pending, unpaid, and future payments will be permanently forfeited without any discussion or warning.
• Such cases are treated as gross violations of business ethics, and NeXOffers may take further legal action if necessary.

5.3 Enforcement Measures

• NeXOffers reserves the right to suspend campaigns, withhold reports, or block logins during ongoing investigations.
• Where damages occur, NeXOffers may recover losses and seek compensation through legal channels.

6. Confidentiality & Non-Solicitation

Affiliates must keep all NeXOffers-related data strictly confidential. Sharing CRM data, links, or client information is strictly prohibited.

6.1 Non-Solicitation of Clients

• Affiliates shall not directly or indirectly approach, solicit, or negotiate with NeXOffers’ clients during or within 24 months after termination of association.
• Violation of this clause leads to immediate blacklisting and forfeiture of all payments, as per Clause 5.2.

7. Modifications to Terms

NeXOffers may modify these Terms & Conditions at any time. Updates will be communicated via our Telegram channel and affiliate panel. Continued use of the platform implies agreement to the revised terms.

8. Indemnity

Affiliates agree to indemnify and hold NeXOffers harmless from any claim, liability, loss, or expense resulting from their breach or non-compliance with these Terms.

9. Audit Rights & Cooperation

• NeXOffers reserves the right to audit affiliate traffic sources, creative materials, and marketing methods at any time.
• Failure to cooperate during an audit will be treated as a breach, triggering enforcement under Clause 5.2.

10. Termination

• NeXOffers may terminate any affiliate at its discretion for violating terms, fraud, or damaging NeXOffers’ reputation.
• Upon termination, pending payments will be processed per Clauses 4 and 5.2.

11. Dispute Resolution & Governing Law

• These Terms are governed by the laws of the jurisdiction where NeXOffers is incorporated.
• Any disputes shall be handled under the exclusive jurisdiction of those courts.
• However, decisions under Clause 5.2 are final and binding, not subject to appeal or negotiation.

12. Notices

All official notices and updates will be made via our Telegram channel @nexoffers and affiliate panel.

13. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in effect.
